The Upcoming AGM page provides a consolidated view of all scheduled Annual General Meetings (AGMs) for BSE- and NSE-listed companies. The following details are available:

  • AGM-related details: Each row shows the stock name, date, event, LTP at record date, announcement day, and LTP at announcement.
  • Market cap filters: Filter events by LargeCap, MidCap, SmallCap, MicroCap and SME segments.
  • Sector filters: Filter by sectors like metals & mining, realty, construction, infrastructure investment trust, chemicals and many more.

What is the Annual General Meeting (AGM)?

An Annual General Meeting is a mandatory yearly assembly of a company's shareholders, where shareholders can exercise their rights and companies provide reports on their performance and future plans. Under Section 96 of the Companies Act, 2013, every company other than a One Person Company (OPC) must hold an AGM each year.

The first AGM must be held within nine months of the close of the first financial year, while subsequent AGMs must generally be held within six months of the financial year-end, with no more than a 15-month gap between two AGMs. For a March 31 year-end company, September 30 is the deadline for subsequent AGMs.

What Happens at an AGM?

Every AGM covers a standard set of ordinary business items and may include additional special business:

Ordinary Business

  • Adoption of audited financial statements (balance sheet and profit & loss account).
  • Declaration of final dividend, if recommended by the board.
  • Appointment or re-appointment of directors retiring by rotation.
  • Appointment or re-appointment of the statutory auditor and fixing their remuneration.

Special Business

Any item beyond ordinary business, such as:

  • Approval of related party transactions.
  • Appointment/re-appointment of independent directors.
  • Increase in authorised capital.
  • Approval of remuneration of MD/WTD/Manager.

An ordinary resolution passes with a simple majority, i.e more than 50% of votes cast. A special resolution requires at least 75% approval.

The AGM Timeline

Indian listed companies follow a structured statutory process leading up to and concluding the AGM:

  • Board recommendation & notice: The company sends an AGM notice with financial statements/reports at least 21 clear days before the meeting date to all eligible shareholders.
  • Cut-off date determination: The company specifies a cut-off date (not earlier than 7 days before the AGM) to determine shareholder voting eligibility.
  • Remote e-voting window: Remote electronic voting opens for 3 days and closes at 5:00 PM on the day before the AGM.
  • AGM day & live e-voting: The meeting is conducted physically, via video conferencing (VC), or other audio-visual means (OAVM). Shareholders who have not cast their remote e-vote can vote live during the meeting.
  • Scrutiniser's report: The scrutiniser consolidates the votes and submits the report, after which the company declares the voting results and makes the prescribed disclosures to the stock exchanges.

  • Stock Name: The BSE or NSE-listed company that is hosting the meeting.

  • LTP at Announcement: The Last Traded Price (LTP) of the stock on the day the AGM was publicly announced.
  • LTP at Record Date: The Last Traded Price of the stock on the record date.
