What can you see in EGM?

The Upcoming EGM page offers free and easy access to all Extraordinary General Meetings (EGMs) of BSE- and NSE-listed companies. Without logging in, the following information is available:

  • Complete EGM data: Each row shows the date, stock name, event, LTP at record date, announcement day, and LTP at announcement.
  • Market cap filters: Meetings can be sorted by LargeCap, MidCap, SmallCap, MicroCap and SME segments.
  • Sector filters: You can narrow down schedules across industries like banking, IT, pharmaceuticals, FMCG, realty, infrastructure, and others to identify sector trends.

What is an Extraordinary General Meeting (EGM)?

An Extraordinary General Meeting (EGM) is a shareholders' meeting summoned by the board of directors or shareholders of a company for the purpose of considering urgent, non-routine matters that require immediate approval and can't wait until the AGM. Under the Companies Act, 2013, any general meeting other than an AGM is an EGM.

EGMs are not the same as AGMs; they are often held for special business. An EGM notice must be sent at least 21 clear days in advance. A shorter notification period may be allowed if the consent of 95% of the members entitled to vote is obtained.

Shareholder Requisition

Shareholders holding at least 10% of the paid-up share capital (carrying voting power) or companies where there is no share capital, members with at least 10% of the total voting power, have the right to requisition the Board to call an EGM under Section 100(2) of the Companies Act, 2013.

The Board shall call the meeting within 21 days and hold the meeting within 45 days. If the Board fails to do so, in that case, the shareholders who made the requisition can convene the EGM themselves within three months, at the company's expense.

What Prompts an EGM?

EGMs are held when the company requires shareholders' consent for a particular action and cannot wait until the next AGM. Common triggers include:

  • Capital raising: A special resolution is required to issue new shares under a QIP, preferential allotment, or convertible warrants.
  • Mergers and acquisitions: Board-approved merger schemes require shareholder consent before being filed with the NCLT.
  • Director changes: Certain appointments, removals or changes involving directors or key managerial personnel may require shareholder approval outside the AGM cycle.
  • Changes to constitutional documents: Any alteration to the Memorandum or Articles of Association requires a special resolution.
  • ESOP schemes and borrowing limits: New ESOP schemes or authority to borrow beyond prescribed limits require shareholder approval.

The Process from Notice to Vote

The following process takes place once the board decides to call an EGM:

  • Notice issuance: Notice is to be issued to all the shareholders at least 21 days before the EGM, either in written form or through electronic communication. It should include the date, time, venue, and particular business to be transacted at the EGM along with an explanatory statement. Shorter notice may be issued only with the approval of 95% of the members.
  • E-voting window period: SEBI has made it mandatory for all listed companies to provide e-voting remotely. The e-voting window remains open for at least three days and ends at 5:00 P.M. the day before the EGM meeting. Shareholders who are unable to participate in the EGM personally can cast their votes remotely during this period.
  • EGM and voting: Shareholders who are present at the meeting in person or participate via video conferencing can vote in the meeting. At least five members have to be present in person for the EGM of a publicly listed company to be considered valid.
  • Minutes and compliance after EGM: The minutes of the EGM have to be recorded in the minute book within 30 days, and Form MGT-14 needs to be filed within 30 days of passing of the resolution for all resolutions that require MCA filing.

Reading the Columns

Each row in the Upcoming EGM table displays the following:

  • Date: The scheduled date of the EGM, at which shareholders may attend through the permitted mode and vote through the applicable voting mechanism to pass or reject the proposed resolutions.
  • Stock name: The BSE or NSE-listed company holding the EGM.
  • Event: Confirms the type of corporate event in this table; all rows display EGM.
  • LTP at record date: The last traded price of the stock on the record date for the event.
  • Announcement day: The date on which the company filed the EGM notice with the stock exchanges.
  • LTP at announcement: The last traded price of the stock on the day the EGM was publicly announced.

  • Filtering by market cap: Narrow events to a specific segment, which is useful for tracking EGMs within a particular portfolio category.

Key Terms to Know

  • Explanatory statement: Document accompanying the notice of EGM, which contains all the relevant information about the special business to be discussed at the EGM.
  • Requisition: Formal request from the shareholders who hold at least 10% of the paid-up share capital or at least 10% of the total voting power (no share capital), requesting the board to call an EGM.
  • Ordinary resolution: An ordinary resolution is passed if there is a simple majority (greater than 50%) of votes cast in favour of that specific resolution.
  • Special resolution: A special resolution requires 75% of the votes cast in favour.
